• "Platform" or "Alkane" refers to the digital asset platform operated by Adorbitals
• "Adorbitals" refers to our company operating the Alkane platform
• "User" refers to any individual or entity using our platform
• "Creator" refers to users who launch projects, create tokens, or NFT collections
• "Collector" refers to users who mint, purchase, or collect digital assets
• "Digital Assets" refers to tokens, NFTs, and other blockchain-based assets on our platform
• "Satoshi" refers to the smallest unit of Bitcoin (1/100,000,000 BTC)

General Eligibility

To use our platform, you must:

• Have the legal capacity to enter into binding agreements in your jurisdiction
• Provide accurate and truthful information during registration
• Comply with all applicable laws and regulations

Geographic Restrictions

Our platform is available worldwide except in countries where cryptocurrency or blockchain technology is not supported, legalized, or is prohibited by law. Users from restricted jurisdictions are not permitted to use our services.

Creator Verification

Creators undergo a verification process where we review:

• Personal background and history
• Online presence and authenticity
• Project legitimacy and documentation

Collectors do not require verification but must comply with all platform rules.

Alkane provides the following services:

• Token Creation and Minting: Tools for creators to launch digital tokens
• NFT Collections: Platform for creating and managing NFT collections
• Launchpads: Fundraising and project launch capabilities
• Marketplace: Discovery and minting of digital assets (secondary trading coming soon)

Service Availability

We strive to maintain high platform availability but do not guarantee uninterrupted service. The platform may be temporarily unavailable for:

• Scheduled maintenance and updates
• Technical issues beyond our control
• Security-related maintenance

We will attempt to fix errors and restore service as soon as reasonably possible.

Platform Fees

Our current fee structure includes:

• Platform Fee: 1800 satoshis per minting transaction (subject to change)
• Bitcoin Transaction Fees: Standard Bitcoin network fees (we do not control these)
• Creator Revenue Share: Mutual agreements with creators on revenue sharing

Fee Changes

Platform fees are configurable and may change. Users will be notified of fee changes through:

• Platform announcements
• Email notifications
• Updated terms and conditions

Premium Services

While we currently do not offer premium services, this may change in the future. Any premium features will be clearly disclosed with separate terms and pricing.

Creator Verification Process

All creators must undergo our verification process, which includes:

• Background and authenticity checks
• Review of online presence and history
• Project documentation and legitimacy verification

Creator Responsibilities

As a verified creator, you agree to:

• Provide accurate and truthful project information
• Deliver on promises made to collectors and supporters
• Comply with all applicable laws and regulations
• Respect intellectual property rights
• Maintain the authenticity that earned your verification

Revenue Sharing Agreements

Revenue sharing with creators is established through mutual agreements that specify:

• Percentage of revenue sharing
• Payment schedules and methods
• Project-specific terms and conditions

Intellectual Property Rights

Creators retain full intellectual property rights to their content and creations. By using our platform, creators grant us necessary licenses to display, process, and enable platform functionality.

Collector Obligations

As a collector, you understand and agree that:

• You are responsible for all transactions and minting fees
• Asset prices are set by creators, not by the platform
• You must pay the platform fee of 1800 satoshis per transaction
• Bitcoin network transaction fees are additional and beyond our control

Risk Acknowledgment

Digital asset collecting involves significant risks including:

• Extreme price volatility and potential total loss of value
• Regulatory uncertainty and changing laws
• Technology risks and potential loss of access
• Creator risks and project failures

No Investment Advice

We do not provide investment advice. All collecting decisions are your sole responsibility. Past performance does not guarantee future results.

General Refund Policy

Digital asset purchases are generally final and non-refundable.

Technical Issue Refunds

We provide refunds only for unsuccessful mints due to technical issues. In such cases:

• We refund the asset mint price only
• Platform fees (1800 satoshis) are not refunded
• Bitcoin transaction fees are not refunded
• Refund transactions incur Bitcoin network fees, deducted from the refund amount

Refund Example

If you mint 2 assets at 900 satoshis each:

• Asset cost: 1,800 satoshis
• Platform fee: 1800 satoshis
• Bitcoin transaction fee: [Variable network fee]

If the mint fails due to technical issues, we refund 1,800 satoshis minus the Bitcoin transaction fee for the refund.

Dispute Resolution

We carefully verify all mints and transactions. Disputes are handled on a case-by-case basis following our terms and applicable governing law.

Content Standards

We maintain high standards for content on our platform:

• Explicit content is generally not accepted
• If explicit content is approved, appropriate warnings are displayed
• Content must comply with applicable laws and regulations
• Creators must respect intellectual property rights

Copyright Infringement

We take copyright infringement seriously:

• Creators found to infringe copyright will be reported and blocked
• We are not liable for creator copyright violations
• Our verification process aims to prevent such issues
• Users can report suspected infringement to our support team

Content Removal

We reserve the right to remove content that:

• Violates our content guidelines
• Infringes on intellectual property rights
• Is deemed harmful to our community
• Violates applicable laws or regulations

Account Blocking

User accounts may be blocked for:

• Violation of these terms and conditions
• Fraudulent or deceptive activities
• Copyright infringement or other legal violations
• Abuse of platform features or other users

Data Security

In all circumstances, including account termination or platform issues:

• User data is kept securely
• We maintain appropriate security measures
• Data handling follows our Privacy Policy

Platform Continuity

While we do not plan to shut down the platform:

• In the unlikely event of platform closure, user data remains secure
• We would provide reasonable notice to users
• Asset ownership rights would be preserved to the extent legally possible

Platform Disclaimers

The Alkane platform is provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to:

• Merchantability and fitness for a particular purpose
• Uninterrupted or error-free service
• Security of user data (though we implement reasonable measures)
• Accuracy or completeness of platform information

Data Breach Disclaimer

While we take data privacy and security seriously and implement appropriate safeguards, we are not liable for data breaches that may occur despite our reasonable security measures.

Limitation of Liability

To the maximum extent permitted by law, Adorbitals and the Alkane platform shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Damages arising from third-party actions or Bitcoin network issues
• Losses due to market volatility or investment decisions

Our total liability shall not exceed the fees paid by you to us in the 12 months preceding the claim.

Governing Law

These terms and conditions are governed by the laws of the United States. For international users, local laws may also apply where not in conflict with U.S. law.

Dispute Resolution Process

In case of disputes:

2. We will review disputes according to these terms and applicable law
3. Formal legal proceedings will be subject to U.S. jurisdiction
4. Users agree to attempt good faith resolution before pursuing legal action

Class Action Waiver

Users agree to resolve disputes individually and waive the right to participate in class action lawsuits or collective arbitration proceedings.
